Terms And Conditions

These Master Terms and Conditions (“Terms”) govern access to and use of the Alert Messenger messaging platform and related services provided by the Company.

1. Definitions

“Company” means Messaging Zone, LLC, doing business as Alert Messenger.
“Customer” means any individual or entity using the Services.
“Services” means the SMS, MMS, email messaging services, APIs, and related technology provided by the Company.

2. Services

The Company provides application-to-person (A2P) messaging services designed for lawful, informational, operational, and emergency communications. The Services do not include voice or automated calling.

3. Compliance with Laws and Carrier Rules

Customer agrees to use the Services in compliance with all applicable federal, state, and local laws, including TCPA, CAN-SPAM, and applicable privacy regulations, as well as mobile carrier policies including A2P 10DLC requirements.

4. Consent Requirements

Customer is solely responsible for obtaining, documenting, and maintaining lawful recipient consent prior to sending messages. Opt-out requests must be honored immediately.

5. Prohibited Use

Customer may not use the Services for spam, phishing, deceptive messaging, marketing campaigns outside approved use cases, or any content prohibited by law or carrier rules.

6. Service Availability

The Services are provided on an “as available” basis. Message delivery is subject to carrier filtering, network availability, and external factors beyond the Company’s control.

7. Fees and Payment

Fees are governed by the applicable order form or subscription plan. Failure to pay may result in suspension or termination.

8. Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability shall not exceed the amounts paid by Customer in the preceding twelve (12) months.

9. Indemnification

Customer agrees to indemnify and hold harmless the Company from claims arising from misuse of the Services, failure to obtain consent, or violations of law or carrier rules.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

11. Privacy Policy

Customer acknowledges and agrees that use of the Services is subject to the Company’s Privacy Policy, which is available as a standalone page on the Company’s website and is incorporated herein by reference.
